These Terms of Service (“Terms”) are an agreement between you and Sunrunner Labs LLC, the company that operates Toora (“Toora,” “we,” “us,” or “our”). They govern the Toora mobile apps, websites, and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.
Who we mean and who may use Toora
- A “Professional” is an adult who provides services and uses Toora to operate their practice.
- A “Client” is an adult who receives services from a Professional or arranges or manages services for a Youth Participant.
- A “Youth Participant” is a person under 18 who receives services arranged or managed by a Client.
- A “User” is an adult who directly uses Toora: a Professional or a Client.
Only Users who are at least 18 years old and able to enter a binding agreement may hold a Toora account. Youth Participants may not create accounts, sign in, or submit information directly through the Service. Toora is currently invite-only; access is provisioned by Toora or granted by an authorized User. There is no open account registration.
You are responsible for keeping your sign-in method secure, for activity under your account, and for promptly telling us about suspected unauthorized access. Information you provide must be accurate enough for the Service to operate safely.
Client and Youth Participant information
The Service lets Professionals and Clients manage information about Clients and Youth Participants. If you provide that information, you represent that you have the rights, permissions, notices, and consents needed to provide it to Toora and to direct the communications you send. You must use the Service consistently with your professional, contractual, and legal obligations to Clients and Youth Participants.
Toora is not a child-directed service. Information about a Youth Participant must come from a Professional or Client, not directly from the Youth Participant. When a Client acts for a Youth Participant, the Client represents that they are the Youth Participant’s parent or legal guardian, or another adult authorized to act for that Youth Participant.
AI-assisted features require human review
AI-generated output may be incomplete, inaccurate, or inappropriate for a particular situation. Professionals are responsible for reviewing each response and proposed action before relying on it. This includes verifying schedules, attendance, invoices, recipient lists, and communications before using or sending them. A confirmation prompt is not a substitute for human judgment.
The Service is an administrative tool. It does not provide legal, tax, accounting, medical, or safety advice, and it does not replace rink rules, professional judgment, or emergency services.
Your content
You retain your rights in information, files, and other content you submit to the Service (“Your Content”). You grant Toora a nonexclusive, worldwide license to host, copy, transmit, format, and process Your Content only as needed to operate, secure, support, and improve the Service and comply with law.
You are responsible for Your Content and must not submit content that you do not have the right to use, that violates another person’s privacy or intellectual-property rights, or that is unlawful, abusive, or harmful.
Acceptable use
You may not:
- Access another person’s records without authorization or attempt to bypass access controls.
- Probe, disrupt, overload, reverse engineer, or misuse the Service or its infrastructure.
- Use the Service to send spam, deceptive messages, harassment, or unlawful content.
- Upload malware or use automated means to scrape the Service except through an interface we expressly provide.
- Use AI-generated output to make high-impact decisions about a person without appropriate independent review.
Third-party technology and websites
The Service relies on third-party technology and may link to third-party websites, such as a facility’s registration site. Our Privacy Policy explains how those companies process information to help us operate the Service. Third-party services and websites have their own terms and privacy practices. We are not responsible for third-party websites or for a facility’s schedule, availability, rules, or transactions.
Pilot service, fees, and changes
Toora is currently offered as an invite-only pilot. Unless we separately agree otherwise, no fee is charged for pilot access. We may change the Service, introduce fees, or end a pilot feature, but we will give reasonable notice before charging for continued use.
We may add, remove, or modify features to improve the Service, address security or legal requirements, or reflect product decisions. We will avoid materially reducing paid functionality during an agreed paid term without notice.
Suspension and termination
You may stop using the Service at any time. Contact support@toora.ai to request closure of your access. Our Privacy Policy explains how to request access to, correction of, a copy of, or deletion of information, including applicable retention limits.
We may suspend or terminate access if we reasonably believe use violates these Terms, creates risk to another person or the Service, is unlawful, or if we discontinue the Service. When practical, we will give notice and an opportunity to resolve the issue.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOORA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICE. TOORA’S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TOORA FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain disclaimers or liability limits, so parts of these sections may not apply to you.
Governing law
These Terms are governed by the laws of California, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in California, and each party consents to their jurisdiction, unless applicable law requires otherwise.
Changes to these Terms
We may update these Terms. We will post the revised version, update the effective date, and provide additional notice when a change materially affects existing Users. Continued use after the revised Terms take effect means you accept them.
